ProcurePro Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of ProcurePro, a premium service offered by UNLOCK. By purchasing or using ProcurePro, you agree to comply with these Terms.

1. Service Description

ProcurePro is a comprehensive procurement service designed to assist you in sourcing, selecting, and negotiating with service providers. The service includes:

1. A dedicated Procurement Advisor who manages the procurement process on your behalf.
2. Matching you with verified and suitable service providers.
3. Assisting with price and contract negotiations.
4. Providing ongoing support for the procurement process, including resolving any issues.

2. Eligibility

To be eligible for ProcurePro, you must have submitted a service request through UNLOCK and purchased the ProcurePro service package.

3. Service Scope

ProcurePro provides the following:

1. Dedicated Procurement Advisor: You will be assigned an expert to guide you through the procurement process.
2. Vendor Selection: The Procurement Advisor will identify and verify suitable service providers for your needs.
3. Price and Contract Negotiation: The Procurement Advisor will negotiate the best pricing and contract terms on your behalf.
4. Ongoing Support: After contract signing, the Procurement Advisor will continue to provide support and resolve any issues that arise.

ProcurePro services are provided only within the scope outlined and will not include any services outside of the agreed-upon procurement process.

4. Payment and Fees

1. ProcurePro Service Fee: The fee for ProcurePro will be clearly stated at the time of purchase. By purchasing the service, you agree to pay the full fee as outlined.
2. Non-refundable: Once ProcurePro is purchased, the service fee is non-refundable, except in cases where the service is unable to be provided due to circumstances outside our control.

5. Your Responsibilities

1. Information Accuracy: You agree to provide accurate and complete information about your procurement needs to assist the Procurement Advisor in delivering the service.
2. Timely Communication: You agree to respond to the Procurement Advisor’s requests in a timely manner to ensure the procurement process runs smoothly.
3. Contractual Agreement: You are responsible for reviewing all final contracts before signing and ensuring they meet your needs.

6. Procurement Advisor’s Role

The Procurement Advisor will act as a liaison between you and the service providers. They are responsible for:

1. Verifying service providers and matching them with your business requirements.
2. Negotiating pricing and terms that align with your goals.
3. Assisting in resolving any issues related to the procurement process.

However, the final decision to proceed with any service provider or contract is solely yours.

7. Confidentiality and Data Protection

UNLOCK will maintain the confidentiality of all your information shared in the course of the procurement process. Your data will be used solely for the purposes of providing ProcurePro services and will not be shared with third parties without your consent, except where required by law.

8. Limitations of Liability

While we strive to provide the highest quality service, UNLOCK is not responsible for any issues arising from the actions or failures of third-party service providers. Our liability is limited to the procurement services provided by us, and we are not liable for any indirect, incidental, or consequential damages.

9. Termination of Service

ProcurePro may be terminated by either party in the following cases:

1. By you: You may choose to stop using the service at any time, but the service fee will not be refunded.
2. By UNLOCK: We may suspend or terminate the service if we believe there has been a breach of these Terms, including but not limited to failure to provide accurate information or failure to communicate in a timely manner.

10. Amendments

UNLOCK reserves the right to amend these Terms at any time. You will be notified of any changes, and your continued use of ProcurePro after the change constitutes acceptance of the new Terms.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in the United Kingdom.
